In May, four Russian Cosmos satellites (2610–2613) manoeuvred into near-matching orbits with ICEYE-X36, a radar-imaging satellite providing intelligence to Ukraine and Western allies. • Orbital tracking indicated separations as small as 500 metres. • ICEYE repositioned its satellite, reportedly prompting further Russian manoeuvres. • The US Space Force confirmed the proximity operations. • Germany's Space Command warns such tactics could also threaten Starlink. I'll admit, the idea of Starbucks buying Chipotle, as FT is reporting, sounds REALLY COOL. This would be, by far, the biggest deal the restaurant industry has ever seen. Chipotle's market value before this report came out was $39B. That's more than 3x the next largest deal. Per @technomic the two combined chains would have $44B in system sales. But the deal would be really difficult to complete from the get-go. Starbucks would have to pay probably $51B to buy Chipotle, and maybe more, as I'm just spitballing here. It doesn't exactly have that cash sitting around. (It has $3.5B) That means the deal would likely mean some sort of combination of debt and stock. It could use all debt, but that would be really stupid. Starbucks has a higher EV multiple (22x v. 19x), though that gap would likely be wiped out by whatever premium it would need to pay for Chipotle. If it was an all-stock deal, then Chipotle shareholders would get roughly one-third of the combined company. So probably they'd use a little of their cash, some debt, and stock. Either way, Starbucks shareholders would have to accept this. And maybe they do. But why? And that gets to the bigger question here: It is not remotely easy to create a multi-chain operating company. To get investors to buy into the deal, Starbucks would have to push the idea of synergies. But nothing is more overrated in such a transaction than synergies. This would also come right after Starbucks went through three years' worth of disruption, reorganizations, and then layoffs. Howard Schultz returned, held a bunch of meetings, announced a bunch of changes, named a new CEO in Laxman Narasimhan. The new guy lasted 18 months, and then the company brought in Brian Niccol with a nine-figure enticement. And then Brian made a bunch of changes. So the company would then present its corporate staff with yet more changes? Not to mention whatever disruption this would cause at Chipotle. These deals may sound good on paper, but in reality they are exceedingly difficult to execute. Jack in the Box bought Del Taco and started thinking it'd be a multi-brand operator. That lasted three years. And Del Taco is undoing a bunch of things that Jack in the Box did. For instance, Jack switched some of Del Taco's ingredients to save money and achieve some of those "synergies" these deals promote. Customers hated the changes. McDonald's couldn't do it and has performed far better since it unloaded secondary concepts, including Chipotle. Yum Brands just dumped Pizza Hut for a song. Inspire Brands has struggled to get all its concepts pointed in the same direction. RBI is playing whack-a-mole with its four concepts. It just got Burger King on the right track and now has Popeyes problems. And it's not entirely clear what these companies gain by combining. Chipotle may have more buying power. But it already has plenty of muscle as it is, and a lot of growth potential. It doesn't NEED to be sold to Starbucks. So you have to bet that the premium that would need to be paid would be substantial. And you're going to tell me that Starbucks is going to make a potentially massive deal like this with a payoff that is just really uncertain? I can buy the idea that they'd explore it. And I'm not saying it can't happen. It could! But I'm not going to hold my breath. $CMG $SBUX
